The noble Lord said: Clause 612 provides that a person who signs up to an agreement with other persons to acquire shares in a company is considered as having an interest in that company’s shares for the purposes of Part 21. The amendment clarifies possible doubts as to whether Clause 612 is creating a new obligation of disclosure. It removes the reference to an ““obligation of disclosure”” and instead states simply that an interest in shares may arise from an agreement as described in this clause. I beg to move.
