moved Amendment No. A73B:"Page 270, line 5, at end insert ““and shall certify registration of the documents so delivered; and the certificate may be either signed by the registrar or authenticated by his official seal””"
The noble Lord said: Amendments Nos. A73B and A73C concern Clause 562. This is another practitioner issue. These amendments would bring the Bill more into line with the current provisions of Section 138(2) of the Companies Act 1985. They would clarify that it is when the documents relating to share capital reduction are registered that the resolution takes effect and not before. This clarity as to how the registrar certifies receipt and when the resolution takes effect will avoid any possible confusion over what could be perceived as an apparent change in the law.
