moved Amendment No. A69A:"Page 268, line 34, leave out ““members of the company”” and insert ““any member of the company on request before the meeting and””" The noble Lord said: We are still in the same part of the Bill, and this is another practitioner issue that has been raised with us. Like Amendment No. A68A, this amendment changes the Bill to more faithfully reflect the wording of the Companies Act 1985 with regard to written resolutions. It is also intended to provide a greater protection for company members, in that the company will be obliged to make available a copy of the solvency statement for inspection on request before the meeting. That is important, as it will allow members, who often do not have the luxury of information or resources that the company has, to be prepared for the general meeting. Surely that is desirable, as decisions made at company general meetings should be made by those who are well informed and well prepared. Ill-informed decisions might be made by those who are not in command of the full facts, which could have negative repercussions on the company, its members and its creditors. Therefore, we seek to leave out the words ““members of the company”” and insert,"““any member of the company on request before the meeting and””." I beg to move.
