I suggest to the noble Lord, Lord Clinton-Davis, that much business of meetings is transacted by proxies, with shareholders being given adequate information in the documentation that convenes the meeting. This does not have any bearing on what a chairman does at a meeting. The issue is whether shareholders are given adequate information to allow them to make their judgments. Many of them will make their judgments by returning a proxy. The amendment would also give auditors a context in which to make their representations. Those are the reasons why I propose it.
