I will have another go. I am grateful for the Minister’s comments, and I understand what he said about the notice in subsection (4), referring back to subsection (3), which takes me to my second point. I asked the Minister whether the resolution in subsection (3)(a) is a resolution of the board or of the company. If it is a resolution of the company, we are getting into the issue of there being publication of a notice of a resolution which will contain the names. It therefore does not seem helpful. In any event, the provision is ambiguous about whether it is the board or the company and that may well need to be clarified. But if it is the company, then it raises issues of notice of the resolution being open to the members before the resolution is passed as it is itself a public document.
