I have often wondered about the phrase. The noble Lord has spoken of the desirability of having a clear written memorandum setting out the terms of the contract. I have often wondered whether that means setting out all the terms of the contract. If it is desirable that that be so, should it not say so? If not, the matter is slightly obscure.
