The noble Lord said: The purpose of the amendment is to put on the record what is meant by the word ““memorandum””. Most of us understand the commercial meaning of the term, but we want to encourage directors’ contracts and all service contracts to be written in as clear a legal form as possible. I am not sure that I can trace reference in company law to ““memorandum””, but perhaps I may be corrected. It seems a little too vague. I would be grateful for clarification. I beg to move.
