Company Law Reform Bill

moved Amendment No. 175ZA:"Page 70, line 26, leave out ““their voting”” and insert ““the director in question or any other interested director having voted””" The noble Lord said: In moving Amendment No. 175ZA, I shall speak also to Amendment No. 175ZB; they are interrelated. Section 159(6)(b), to which the noble Lord, Lord Wedderburn, as well as the Attorney-General, referred, is grammatically incorrect, because it uses words that incorporate the meaning of words used in the first condition, in paragraph (a). Paragraph (b) should be rewritten mirroring the words used in paragraph (a), so that it makes sense and can be read as a stand-alone condition. I congratulated the parliamentary draftsmen at one of our earlier sittings, but I hope that the Minister will agree to take this away and think further. I beg to move.
