I entirely agree with the noble Lords, Lord Freeman and Lord Hodgson, that anyone who purports to be a director should be bound by the duties of a director. That is achieved by Clause 229, which provides that,"““‘director’ includes any person occupying the position of director, by whatever name called."
In our view, there is no need to include any further provision on this point. Indeed, it might be taken to detract from the generality of Clause 229 if we were to do so, which would be dangerous.
