““( ) A director owes the duties provided for in Chapter 2 notwithstanding any defect that may afterwards be discovered in his appointment or qualification.””
The noble Lord said: If Clause 145 provides for the acts of a director to be valid notwithstanding a defect in his appointment, it is logical for such a person to owe like duties to a director in the performance of those acts, hence this amendment to make the position clear. I beg to move.
